Terms of Service

1. Acceptance of Terms

By accessing or using FurniHub ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Services

FurniHub provides a platform for furniture industry professionals including:

• A directory of furniture industry companies and professionals
• A rep marketplace connecting manufacturers with sales representatives
• Messaging and networking capabilities
• Educational resources and industry news
• Community features and discussions

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

4. Subscription and Payment

Some parts of the Service are paid ("Subscription(s)"), and only for manufacturers and vendors. Retailers, sales associates and sales reps are not charged. At the time of writing no paid plan is on sale: Pro is free during a beta for verified manufacturers and vendors until the date shown on our pricing page, and paid plans will be announced before that date.

When a paid plan exists, it is billed monthly in advance ("Billing Cycle"). Before you enter a payment method we show you the price, that the Subscription renews each month until you cancel, and how to cancel. By subscribing you authorise a recurring monthly charge to your payment method until you cancel.

You may cancel a Subscription at any time from the Billing page of your account, in two clicks, without a call or an email. Cancellation takes effect at the end of the period you have paid for, and you keep access until then. Refunds, if any, are described next to the pay button when you buy.

A valid payment method is needed only to pay for a Subscription. It is never needed for the free trial or the beta, and we do not take one for them.

5. Free Trial and Beta

Each manufacturer or vendor company can start one free Pro trial of 7 days ("Free Trial"). No payment method is required and we do not collect one. We send a reminder by email on day 5 and on the last day. When the Free Trial ends, Pro ends automatically: you are not charged, the Free Trial does not turn into a Subscription, and nothing you created is deleted. We may refuse or end a Free Trial that we reasonably believe is being abused, for example by creating accounts to get repeat trials.

During the beta shown on our pricing page, Pro features are provided at no charge to verified manufacturers and vendors. We will announce paid plans before the beta ends. When it ends, a company that has not chosen a paid plan returns to the free plan, and nothing is deleted.

6. User Conduct

You agree not to use the Service to:

• Violate any laws, regulations, or third-party rights
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use automated systems or software to extract data from the Service ("scraping")
• Impersonate any person or entity

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of FurniHub and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without the prior written consent of FurniHub.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

9. Limitation of Liability

In no event shall FurniHub, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

10. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
